By accessing and using the website and services of Dariae Model Agency ("the Agency," "we," "us," or "our"), you ("the User," "Client," or "Talent") agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services. These terms constitute a legally binding agreement between you and Dariae Model Agency.
The Agency provides model and talent representation, booking coordination, talent development, event staffing, and related professional services as described on our website. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
All bookings must be confirmed in writing (email or signed booking form). A booking is considered confirmed only upon written acknowledgment from the Agency. Verbal agreements are not binding.
Usage rights for images, videos, and content featuring our Talent are defined in the specific booking agreement. Any usage beyond the agreed scope requires prior written consent from the Agency and may incur additional fees.
Clients must provide a safe, professional, and respectful working environment for all Talent. Any form of harassment, discrimination, or unsafe working conditions will result in immediate termination of the booking without refund, and may result in permanent blacklisting from our services.
Talent represented by the Agency agrees to exclusive representation within the Dubai market, unless otherwise specified in writing. Talent must not accept bookings or negotiate directly with clients without the Agency's involvement.
Talent must maintain professional conduct, arrive punctually for all bookings and castings, maintain their physical appearance as agreed, and communicate any scheduling conflicts promptly.
The Agency earns commission on all bookings secured through our services. Commission rates are specified in individual representation agreements and are deducted from the Talent's booking fees before payment.
All prices are quoted in Canadian Dollars (CAD) unless otherwise stated. Prices listed on our website are indicative and subject to change based on specific project requirements. A detailed quote will be provided for each booking.
Clients are required to pay a 50% deposit upon booking confirmation. The remaining balance is due within 14 days of project completion. Late payments are subject to a 2% monthly interest charge.
All fees are subject to applicable taxes including HST (Harmonized Sales Tax) at the prevailing Ontario rate. Tax amounts will be itemized on all invoices.
The Agency reserves the right to cancel or reschedule bookings due to unforeseen circumstances (illness, emergency, force majeure). In such cases, we will offer alternative Talent or a full refund at the Client's discretion.
All content on this website, including but not limited to text, images, logos, graphics, design elements, and software, is the property of Dariae Model Agency or its licensors and is protected by Canadian and international copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or use any content without our prior written permission.
To the maximum extent permitted by law under the Province of Ontario and UAE:
You agree to indemnify, defend, and hold harmless Dariae Model Agency, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of our services, breach of these Terms, or violation of any third-party rights.
You agree not to: use the website for any unlawful purpose; attempt to gain unauthorized access to our systems; scrape or harvest data from the website; transmit viruses or malicious code; or interfere with the website's operation.
Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of these external sites.
Any disputes arising from these Terms or our services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of UAE applicable therein. The parties agree to first attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Dubai, Ontario, under the Arbitration Act, 1991 (Ontario). The courts of Ontario shall have exclusive jurisdiction for any matters not subject to arbitration.
Neither party shall be liable for failure to perform obligations due to events beyond their reasonable control, including but not limited to natural disasters, pandemics, government actions, strikes, civil unrest, or infrastructure failures.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.
